I can't speak for California, but here in NM permission to build a Walmart or to change from regular to super is up to local zoning boards and councils.
In Taos, WM wanted to convert to super, but council decided that they could do it only if the separate parts of the super store were physically broken up into smaller stores. WM, of course, refused and threatened to build a new store outside of town limits. It turned out to be an empty threat, apparently.
